Purchase and subscription terms and conditions


Article 1. DEFINITIONS
 
In these general terms and conditions, the following is understood by:

1. Customer: the natural or legal person who subscribes to a subscription or orders an item;

2. FPM: online media platform Free People Media (including online magazines ©Roots and ©SMART policy) that is registered under the Chamber of Commerce number 80076718;

3. Item: a welcome gift that a new subscriber may receive at the start of a subscription or a FPM consumer item ordered by the customer;

4. Intellectual property: referred to as intellectual property rights, includes all rights of ideas, creations, concepts, and inventions conceived by FPM, which are exclusively reserved to FPM. This concerns the rights protected, among other things, by copyright, design and model rights, trademark law, patents, trade name law, the Dutch Wet bescherming bedrijfsgeheimen (Trade Secrets Protection Act), and/or by registration with the BOIP (Benelux Office for Intellectual Property) I-depot;

5. Subscription:the agreement that provides for periodic access to the online blog and/or (an) online magazine(s) issued by FPM, including ©Roots, and ©SMART policy, including a gift subscription.

Article 2. APPLICABILITY
 
1. These purchase and subscription terms and conditions apply to: (a) all subscriptions; (b) all agreements according to the delivery of items by FPM.
2. A subscription includes periodic access to the blog and/or an online magazine issued by FPM for the agreed term, in accordance with the specifications applicable to the relevant subscription.
3. Deviations from the provisions set forth in these terms and conditions may only be made if explicitly agreed upon in writing. In such case, the other provisions of these terms and conditions shall remain fully in effect.
4. The customer must be at least 18 years old.
5. FPM is entitled, for any reason, to cease the publication of the blog and/or a digital magazine for which the subscription was taken out, at any time. After cessation, FPM is no longer obliged to make any further deliveries. In that case, the subscriber is entitled to a (partial) refund of the prepaid subscription fee.
6. For questions or in case of complaints regarding the execution of a subscription, the customer can contact FPM via info@freepeoplemedia.com.
7. FPM reserves the right to amend these terms and conditions. The amended terms and conditions shall apply from the effective date to all existing and future subscriptions and agreements for the delivery of goods, even if they were concluded before the terms and conditions were changed.
8. The terms and conditions can be consulted at www.freepeoplemedia.com and can be requested free of charge via info@freepeoplemedia.com.
9. If any provision of these general terms and conditions is wholly or partly null and/or invalid and/or unenforceable, because of any legal provision, court ruling, or otherwise, this shall have no effect on the validity of all other provisions of these general terms and conditions. The provision concerning the part that cannot be invoked shall be deemed adjusted in such a way that it can be invoked, while preserving the intentions regarding the original provision or the original part as much as possible.
 
Article 2. NEW SUBSCRIPTIONS
 
1. New subscriptions can be concluded in writing or electronically and can start at any time. Items can be ordered through the FPM website. A subscription or the purchase of an item is established when FPM confirms the subscription or purchase in writing or electronically, or when the subscription starts to be conducted. FPM may refuse a subscription request or the purchase of an item without any reason.
2. The customer is only entitled to a discount or a welcome gift if they have not had a subscription to the magazine or the digital edition and/or content in question in the past two years. Offers cannot be combined. FPM reserves the right to unilaterally change, suspend, or terminate an offer at any time without giving reasons.
3. If applicable, a welcome gift will be sent to the subscriber no later than eight weeks after receipt of subscription payment. If the delivery of the welcome gift happens to take longer, the subscriber will be informed.
4. FPM is not liable for any damage resulting from exceeding the announced delivery times.
 
Article 3. BLOG AND DIGITAL MAGAZINE COMPOSITION AND FREQUENCY
 
FPM is free to change the composition (size, content, and layout) and frequency of the blog and digital magazine(s) without prior notice to the subscriber, provided that a reasonable balance is maintained between the subscription fee and the service provided by FPM.
 
Article 4. RIGHT OF WITHDRAWAL
 
1. The customer has the option to: (a) in the case where a subscription relates exclusively to digital publications/digital content: to withdraw within 14 days of entering into the subscription without giving any reason; (b) in the case of a contract for the supply of an item: to withdraw from the contract within 14 days of receiving the item or (in the case of an order consisting of multiple items) receiving the last item.
2. The customer can exercise the right of withdrawal by sending an email to info@freepeoplemedia.com within the period mentioned in Article 4, paragraph 1, stating that (s)he wish to exercise his/her right of withdrawal. If the customer decides to withdraw, (s)he will receive a confirmation by email or post.
3. If the customer withdraws his/her subscription within the 14 days period of entering the subscription, received access to the digital magazine will be revoked on the last day before publication of the next edition of the digital magazine by FPM. After cancellation, access to the blog will revoked within a week. The customer must return (if applicable) the received welcome gift within 14 days from the day on which the cancellation is made. In the case of cancellation of the agreement for the delivery of (an) item(s), the customer returns the item(s) within 14 days from the day on which the cancellation is made. The customer returns the item(s) in or with the original packaging. The cost of return shipment is the responsibility of the customer and depends on the type of item being returned.
4. If the customer exercises his/her right of withdrawal, (s)he will receive the subscription fee minus the sales price of the received digital magazine, and/or minus the (two) week(s) price of the accessed blog, or purchase amount they have already paid within 14 days, whereby FPM reserves the right to wait with the repayment until the welcome gift, or the item(s) have been received back.
5. If within 14 days from the day on which the cancellation is made, the welcome gift is not returned, the customer is obliged to pay the sales price of the welcome gift to FPM.
 
Article 5. SUBSCRIPTION DURATION AND CANCELLATION
 
1. A subscription is entered into for the specified period and will then automatically renew – unless cancelled – unless otherwise stated in the offer. During the first subscription term, the subscription can only be terminated at the end of the agreed subscription period, with the subscriber needing to cancel the subscription at least one month before (the release of the first issue of) the new subscription term. This can be done by email to info@freepeoplemedia.com.
2. With automatic renewal, the subscription will be converted into an open-ended subscription. Cancellation of the subscription after automatic renewal can be done with a notice period of one month. Cancellation can be sent by email to info@freepeoplemedia.com.
3. If the subscription is a trial subscription, the subscription will automatically end upon the expiration of the agreed period.
4. Information about the subscription duration can be requested via info@freepeoplemedia.com. The contact details are also listed in the colophon of the respective digital magazine.
 
Article 6. PAYMENT OF SUBSCRIPTION FEES AND METHOD OF PAYMENT
 
1. Payment of the subscription fee is made by online payment. The current subscription prices can be found in the colophon of the relevant digital magazine or in the subscription pricing overview on the website https://freepeoplemedia.com.
2. In the event of non-payment, for example due to reversal of the debited amounts or insufficient funds in the specified account, two reminder emails will be sent requesting payment. If the subscription payment is not received within 5 days after the final reminder, FPM is entitled to unilaterally terminate the subscription with immediate effect and to claim any damages and overdue payments.
3. All subscription prices are in euros and include VAT.
4. FPM reserves the right to change the (subscription) price during the term of the subscription, including but not limited to based on the annual inflation indexation. Any change in the subscription price will be published on the website https://freepeoplemedia.com. The new subscription price will take effect from the next payment period. If the change in the subscription price involves an increase, the subscriber is entitled to terminate the subscription.
5. Questions and complaints regarding invoices or direct debits must be emailed to info@freepeoplemedia.com no later than ten days after receipt of the invoice or direct debit.
 
Article 7. DELIVERY

The delivery of a welcome gift or item(s) is done via Post NL or DHL. If a welcome gift or item(s) has not arrived or is damaged, the recipient can contact info@freepeoplemedia.com about it.
 
Article 8. PRIVACY
 
FPM is responsible for processing the personal data collected when entering subscriptions and purchasing items. The personal data is used, among other things, for the execution of the subscription and for the performance of the agreement for the purchase of an item. More information about the processing of personal data can be found in FPM‘s privacy policy on the website https://freepeoplemedia.com.
 
Article 9. ITEMS
 
1. The delivery of a welcome gift upon subscribing takes place after receipt of the payment as agreed for the respective subscription.
2. The welcome gift remains the property of FPM until the conditions set by FPM for receiving the welcome gift have been met.
3. The welcome gift or the item(s) is/are at the customer‘s risk after delivery.
4. The customer is obliged to check whether the quality and/or quantity of the delivered item(s) correspond(s) to what was agreed upon, immediately when the item(s) is/are made available to him/her. If the delivered item(s) do(es) not conform to the subscription or the purchase agreement, the customer must report any defects or incorrectly delivered item(s). The recipient must report the defects immediately after discovery, but no later than seven days, to FPM via info@freepeoplemedia.com, including a clear description of the damage and a photo of the damage. If this notification is not made within the aforementioned period, FPM has the right not to process such a complaint.
5. If it is established that an item is defective and the defect has been timely reported, FPM will refund the purchase price of the item(s) upon return. In the case of a welcome gift, the subscriber will receive a new welcome gift. If the welcome gift is no longer in stock, an alternative will be offered at FPM‘s discretion.
6. The purchaser is not entitled to invoke the provisions of Article 9, paragraph 5 if the defect has occurred as a result of normal wear and tear, an accident, external factors, neglect and/or incorrect use of the item(s) or welcome gift, including, in any case, use not in accordance with the instructions for use of the item.
7. All items are usually in stock. However, it may happen that an item is temporarily out of stock. In that case, the purchaser will be informed as soon as possible, and FPM will hold the order. If a welcome gift is no longer in stock, the purchaser is entitled to an alternative welcome gift, at FPM‘s discretion.
8. If an item (other than a welcome gift) is no longer in stock, the fee paid by the customer for the relevant item will be refunded.
9. FPM strives to make the images of items as accurate as possible. However, FPM cannot guarantee that the colours shown in the images correspond exactly to the actual colours of the items to be delivered.
 
Article 10. COMPLAINTS
 
The customer must report complaints about a subscription or the delivery of an item to FPM by email at info@freepeoplemedia.com as soon as possible, but no later than 7 days after they arise. FPM will process the complaint and will send a message to the customer no later than two weeks later. If no solution is reached, the customer can use the Online Dispute Resolution (ODR) platform of the European Commission for out-of-court dispute resolution via http://ec.europa.eu/consumers/odr.
 
Article 11. INTELLECTUAL PROPERTY
 
1. All (intellectual) property rights, which in any case include copyrights and trademark rights, database rights, concerning FPM, the content of the online magazines and the FPM website, proposals, formats, concepts, (editorial) contributions, products, the FPM logo and all other components related to FPM content and products, are held exclusively by FPM respectively its auteurs. FPM explicitly reserves these rights.
2. Nothing of the online magazine and/or of the digital content may be reproduced, stored (other than for personal use) in an automated data file, and/or made public in any way by or with the cooperation of the customer/subscriber, unless with prior written permission from FPM.


Article 12. LIABILITY AND FORCE MAJEURE

1. FPM is only liable for damage suffered by the customer if this damage can be attributed to FPM or if it falls under FPM’s risk according to legal provisions. FPM is not liable for damage resulting from the customer‘s use of any service provided or item delivered by FPM, unless FPM is liable under the provisions regarding product liability as referred to in Article 6:185 et seq. of the Civil Code.
2. FPM is not liable for any damage if it is caused by a failure that results from force majeure. Force majeure is present if the failure is due to circumstances beyond FPM’s control, which include, but are not limited to: war or similar situations, terrorism, riots, sabotage, boycott, strike, occupation, blockade, illness of FPM personnel, failure of FPM’s suppliers and/or carriers, government measures (including those of a foreign government) such as transport, import, or production bans, natural disasters, bad weather, lightning, fire, explosion, and the release of hazardous substances or gases.
3. None of the above applies in the case of intent and/or gross negligence on the part of FPM. The customer must prove that there is intent or gross negligence on the part of FPM.
4. FPM does not guarantee uninterrupted use and/or unhindered access to digital publications and/or digital content for the customer/subscriber. However, FPM will make every effort to ensure that the customer/subscriber has access to the digital publications and/or digital content in accordance with the subscription.
5. The customer/subscriber is not allowed to offset any alleged claim for damages against any amount owed to FPM.
6. The terms and conditions, including subscription prices, are subject to obvious typographical and printing errors.
 
Article 13. QUESTIONS AND COMPLAINTS
 
For questions or complaints, the customer can contact FPM via info@freepeoplemedia.com. The customer must report the complaint to FPM as soon as possible after it occurs, but no later than seven days after discovery. FPM will process the complaint and send a response to the customer within a reasonable period. If no solution is reached, the customer can use the European Commission’s Online Dispute Resolution (ODR) platform for out-of-court mediation in case of a dispute via http://ec.europa.eu/consumers/odr.
 
Article 14. APPLICABLE LAW

1. These terms and conditions are governed exclusively by Dutch law.
2. All disputes arising from these terms and conditions shall be settled by the competent court in the district where FPM is established.
 
These terms and conditions come into effect on December 30, 2025. As of that date, previously published terms and conditions will no longer apply.
FPM reserves the right to change these terms and conditions.
